This Seller Agreement (“Agreement”) is entered into between Bofal Market Limited (“Bofal Market”, “we”, “us”, or “our”) and the individual or business entity (“Seller”, “you”, or “your”) registering to sell goods or services through our online marketplace (the “Platform”).
By creating a seller account or listing products on the Platform, you agree to be bound by the terms of this Agreement.
This Agreement governs the relationship between Bofal Market Limited and Sellers who wish to list, market, and sell their products through our e-commerce platform.
To become a Seller, you must:
Be at least 18 years old (or a legally registered business entity);
Provide accurate registration information;
Comply with all applicable laws and tax regulations;
Maintain an active business email and contact address.
Bofal Market reserves the right to approve, reject, or suspend any Seller account at its discretion.
The Seller agrees to:
Provide Accurate Information: All product descriptions, prices, and inventory levels must be truthful and up to date.
Quality and Compliance: Products must be safe, authentic, and comply with applicable consumer protection laws and trading standards.
Fulfilment and Delivery: Sellers are responsible for timely packaging and delivery unless otherwise agreed with Bofal Market.
Customer Service: Sellers must respond promptly to customer inquiries and resolve complaints in good faith.
Taxes: Sellers are responsible for all applicable taxes, duties, and fees associated with their sales.
Bofal Market acts as a platform provider and not as a party to the sale between Seller and Buyer.
We:
Provide hosting, payment processing, and marketing features;
May collect commission or fees as outlined in Section 6;
Are not responsible for product quality, delivery, or seller conduct, except where required by law
Sellers may list products on the Platform following Bofal Market’s listing guidelines.
We reserve the right to:
Edit or remove listings that violate our policies or applicable law;
Limit or suspend product visibility;
Require proof of authenticity, safety certification, or trademark ownership.
Bofal Market may charge listing fees, transaction fees, or commissions on each sale.
Fee structures will be communicated in writing or displayed on the Seller Dashboard.
Payments to Sellers are made after the buyer’s order is confirmed, subject to deduction of fees or chargebacks.
Bofal Market may withhold payments for investigation of disputes or suspected fraud.
Sellers retain ownership of their trademarks, logos, and product content but grant Bofal Market a non-exclusive, royalty-free licence to use product images, descriptions, and branding for marketing and promotional purposes.
Sellers must not upload or sell products that infringe on third-party intellectual property rights.
Sellers may not:
List counterfeit, illegal, or restricted items;
Manipulate transactions or reviews;
Engage in misleading advertising or unfair competition;
Attempt to bypass the Platform for direct sales to customers.
Customer information obtained through the Platform must only be used to fulfil orders and may not be shared or used for unrelated marketing.
Sellers must comply with data protection laws, including the UK GDPR and Data Protection Act 2018
Either party may terminate this Agreement with written notice.
Bofal Market may immediately suspend or terminate a Seller’s account if:
The Seller violates this Agreement or applicable law;
Fraudulent, misleading, or harmful activity is suspected;
Customer complaints are excessive or unresolved.
Upon termination, Sellers must fulfil all pending orders and pay outstanding fees
Bofal Market is not liable for any indirect, incidental, or consequential damages arising from this Agreement or the Seller’s activities.
Our total liability will not exceed the total commission fees paid by the Seller in the preceding 3 months.
The Seller agrees to indemnify and hold harmless Bofal Market Limited, its officers, and employees against all claims, losses, or damages arising from:
Product defects, misrepresentation, or regulatory breaches;
Intellectual property infringement;
Data misuse or customer complaints.
This Agreement shall be governed by and construed under the laws of England and Wales and Scotland. Any disputes will be subject to the exclusive jurisdiction of the courts in that region.
Both parties agree to keep all business, financial, and technical information confidential, except as required by law.
This Agreement, together with the Terms of Use and other related policies, constitutes the entire understanding between Bofal Market and the Seller.
